This RENTAL AGREEMENT, dated the day of --------, 200- between Casa
Phoenix Cozumel, LLC, a Nevis Limited Liability Company (“owner”) and
TENANT --------- for rental of Casa Phoenix Cozumel, also known as
condominium Unit #7-A at El Cantil Sur Condominiums located at Ave. Melgar,
between 13 and 15 Ave., San Miguel, Cozumel, Q.R., Mexico, beginning
on ------------, 3:00 p.m. and checking out on -----------, noon, ---- nights,
for the amount of $------- US DOLLARS plus 12 percent Mexican tax, total $--------.

Terms and Conditions

PAYMENT: A deposit of $-------- is required at the time your reservation is made.
You can pay this with a personal check, a money order, or a major credit card.
The balance of the rent plus tax is due 45 days prior to arrival.

If you will be making your payment with a credit card, please contact us for instructions.

If a reservation is made within 45 days of arrival, full payment plus tax is required
upon making the reservation.

Checks and money orders should be made payable to “Casa Phoenix” and
mailed to the address at the top of this Agreement.

You must include a completed and signed Rental Agreement with your initial payment.
After we have received full payment an e-mail will be sent to you with final instructions
regarding your arrival. If you arrive at the Cozumel airport our representative will greet
you and assist you in arranging transportation to Casa Phoenix. After your arrival we will
offer a brief welcome and orientation at our On-Site Hospitality Office, check you in,
and then show you to Casa Phoenix.

SECURITY DEPOSIT: A $500.00 cash or credit card Security Deposit will be collected
at the time you check-in. The purpose of the deposit is to secure compliance with the
terms and conditions of this agreement and shall be refunded to you immediately after the
premises have been completely vacated and inspected by our staff. We reserve the right to
retain any portion of the deposit that is necessary to reimburse us for any loss or damage
resulting from your rental of the condominium. This amount includes, but is not limited
to, the following items: a) remote control replacement costs; b) costs for repair of
damages to premises, furnishings, electronic equipment, appliances and/or common areas
above ordinary wear and tear; and c) any other amount legally allowable under the terms
of this agreement.

A written accounting of any amounts to be deducted from the deposit shall be presented
to you immediately upon check-out. If the deposit does not cover such costs and damages,
you will be required to pay, prior to departure, the amount of costs or damages not
covered by the deposit.

HOT TUBS & POOL: Use of the pool and hot tub is at your own risk. The Rules
posted by the pool and hot tubs must be followed when using either.

GARAGE: You will have one (1) reserved parking space in the underground garage.

WET CAGE LOCKER: Each unit is provided one (1) assigned cage locker in the garage for
storage of wet articles such as diving and snorkeling equipment. No dripping wet articles are
permitted in the elevators, hallways, stairwells or inside Casa Phoenix.
Please store
them in the cage locker. This locker may also be used for storage of your suitcases, etc. A
padlock will be given to you upon check-in and you are to return it to the office upon
check-out. A $25.00 fee will be charged for missing padlocks.

SMOKING: No smoking is permitted anywhere inside the unit. Smoking is permitted on
the terrace only if all sliding glass doors are completely closed. Smoking is not permitted in
hallways, stairways, or elevators.

CANCELLATION: If, for any reason, you cancel your reservation 60 days or more prior
to your reservation date you will receive a full refund of all monies paid less a 10 percent
administrative fee. If you cancel less than 60 days before your reservation, and we are able
to re-book Casa Phoenix for the dates of your reservation, you will receive a full refund
less a 10 percent administrative fee. We promise to make our best efforts to re-book the
dates of your reservation. However, if we are not able to re-book for the dates you
cancelled you will not receive a refund, but will be given full credit toward a future stay
at Casa Phoenix, less a 10 percent administative fee.
No-shows without cancellation will result in the forfeiture of all monies paid.

RESPONSIBILITY FOR CHILDREN/MINORS: Adults traveling with children and
minors are solely responsible for them – both in behavior and safety. There is no lifeguard
on duty at the pool or hot tubs. Small children are not permitted on the three small
balconies and must be supervised at all times while on the oceanfront terrace and in or
near the water.

LIABILITY: Owner shall not be liable for damages resulting from injury to any person or
any person’s property which injuries or said damages may in any way be connected to or
with the premises. TENANTS agree (1) to indemnify and hold harmless OWNER from
any liability, loss or obligation resulting from any such injuries or damages and (2) to
resolve any disputes under Mexican law.

OWNER/MANAGEMENT COMPANY ACCESS TO UNIT: Owner or their
Management Company has the right to enter the premises at reasonable hours for the
purpose of making necessary inspections and repairs.

EVENTS OUTSIDE THE CONTROL OF OWNER: Owner is not responsible for
acts of God, noise, or any other events outside the reasonable control of Owner.
All appliances and utilities are maintained regularly and replaced when necessary and
will be in working order when Tenants arrive. If repairs are needed, Owner's management
company will make them as quickly as possible. Owner is not responsible if an appliance
or utility fails to work.

IVA TAX AND SERVICE CHARGE: In addition to the agreed-upon rental fee,
Tenant must pay a 12% occupancy tax that is assessed on all rental agreements in
Mexico. No service charge has been added or will be requested. Tips made to maids and
other personnel are solely a matter of each guest’s discretion, but Owner strongly suggests
tipping your maid. Common practice suggests that $5.00 per person per week is appropriate.

LIMITATIONS: Eight persons maximum occupancy. No pets are allowed. No cooking is
permitted on balconies or terrace.

We are able to greet one party at the airport and pay for their transportation to Casa Phoenix.
If your group is arriving on separate schedules, we will meet the party at the time specified below.
Others arriving separately must buy tickets for the airport van ($9.00 per person) and tell the
driver "El Cantil" (the name of the condo building).

IF YOU ARRIVE IN CANCUN, WE CANNOT MEET YOU AT THE AIRPORT, AND
YOU ARE REPONSIBLE FOR YOUR OWN TRANSPORTATION TO CASA PHOENIX.

If you will arrive in Cancun and will not be flying into Cozumel, please let us know the scheduled
time of arrival in Cancun so we will have a general idea of when you will arrive at Casa Phoenix:
